These clients include land developers, commercial landlords and tenants, public healthcare districts and private hospital systems, solid waste disposal companies, and Internet businesses. Michael’s client companies span a diverse range of businesses, corporations, limited liability companies and partnerships.

Structuring Complex Real Estate Development Deals
Michael has negotiated and drafted a variety of complex agreements. These include land acquisition and sale contracts for residential developers, with contingencies for the complex approval and permitting process that accompanies such development.

Negotiating Hospital Business Transactions and Technology Agreements

An additional focus of Michael’s practice is drafting and negotiating documents governing hospital transfers and related financing, commercial leases, joint ventures (including complicated management, profit sharing, and preferred return provisions), intricate licensing agreements for hardware and software applications, and Internet subscription agreements for end users.

Securing a Hospital Lease Compliant with Earthquake Retrofit Rules

Michael was a key member of Archer Norris team that successfully negotiated a $500 million, 60-year hospital replacement/lease agreement to meet hospital earthquake retrofit requirements. He also is part of the Archer Norris team documenting and administering a four-year hospital transition.
